1. Acceptance of Terms
These Terms of Service ("Terms") are entered into between you ("User," "you," or "your") and Teamily, Inc. ("Teamily," "Company," "we," "us," or "our").
These Terms govern your access to and use of Teamily.ai, including any related websites, applications, software, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 18 years old and legally capable of entering into a binding agreement.
2. Changes to These Terms
We may update these Terms from time to time. Any changes will be effective when posted, as indicated by the "Last Updated" date.
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
3. Accounts and Security
You may be required to create an account to access certain features.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
We reserve the right to suspend or terminate accounts that violate these Terms or pose legal, security, or operational risks.
4. Description of the Service
Teamily provides AI-powered collaboration and productivity tools, including AI-assisted communication, content generation, task execution, and workflow automation.
We may modify, suspend, or discontinue any part of the Service at any time.
5. Subscriptions, Billing, and Payments
5.1 Paid Services and Merchant of Record
Certain features of the Service require payment. Prices, billing cycles, and included features are disclosed at the time of purchase.
All charges are billed by Teamily, Inc., which acts as the merchant of record for all transactions.
5.2 Payment Processing
Payments are processed by third-party payment processors, including Stripe, in accordance with their applicable terms and privacy policies.
Teamily does not store full payment card numbers or sensitive authentication data. Stripe is responsible for processing payment transactions in a PCI-DSS compliant manner.
Teamily may receive limited payment-related information from Stripe, such as billing status, payment method type, transaction identifiers, and the last four digits of a card, solely for accounting, support, and fraud prevention purposes.
5.3 Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless canceled before renewal.
You may cancel at any time through your account settings. Cancellation prevents future charges but does not retroactively refund amounts already paid, except where required by law.
5.4 Refund Policy
Subscription fees are non-refundable unless otherwise required by applicable law or explicitly stated at the time of purchase.
Refund decisions and customer support related to billing are handled directly by Teamily.
5.5 Taxes
Prices may exclude applicable taxes, which will be calculated and added at checkout where required by law.
6. Usage Limits and Credits
The Service may include usage limits or credits based on your subscription plan.
Credits have no cash value, are non-transferable, and may expire. Unused credits are not refundable unless required by law.
7. User Content
You retain ownership of content you submit to the Service ("User Content").
You grant Teamily a non-exclusive, worldwide, royalty-free license to use User Content solely to operate, maintain, and improve the Service.
8. Intellectual Property
The Service and all related intellectual property, excluding User Content, are owned by Teamily or its licensors.
You may not copy, modify, or distribute the Service except as expressly permitted.
9. Acceptable Use
You agree not to use the Service for unlawful, harmful, or abusive purposes, or in violation of applicable export control or sanctions laws.
10. AI Disclaimer
The Service may generate automated outputs using artificial intelligence.
Such outputs are provided for informational purposes only and do not constitute legal, medical, financial, or professional advice.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, Teamily's total liability shall not exceed the amount paid by you to Teamily in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Teamily from claims arising out of your use of the Service or violation of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California.
Any disputes shall be resolved by binding arbitration in Santa Clara County, California, unless prohibited by law.
